Welcome to the digital properties operated by Ozcorp Scientific LLC ("Ozcorp," "we," "us," or "our"). By accessing or using any Ozcorp website, application, subscription service, authenticated platform, or related offering, you agree to these Terms of Use and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use our services.

Who we are

Ozcorp Scientific LLC is a Puerto Rico based technology company that operates an umbrella platform, subsidiary brands, portfolio ventures, and authenticated business applications. Our offerings span managed digital infrastructure, market intelligence, open scientific publishing, adversarial assurance, venture portfolio activities, and professional services delivered through work orders, subscriptions, and custom engagements.

Scope of these terms

These Terms apply to Ozcorp Scientific LLC and the brands, sites, and applications we operate or make available, including:

Some products publish supplemental terms, master service agreements, order forms, statements of work, non-disclosure agreements, data processing addenda, or checkout-specific schedules. If there is a conflict, the supplemental terms for that product govern for the specific service.

We may update these Terms at any time. Continued use after changes are posted constitutes acceptance of the revised Terms.

Services covered

Depending on the property you use, Ozcorp may provide or facilitate:

• InfraOps managed infrastructure and executive services, including domain management, corporate email, company websites, digital workspace setup, custom web and mobile applications, AI and ML workflow implementation, scientific programming, market and risk analytics, enterprise deal brokerage, virtual agents, and related platform features such as plan builders, work orders, billing, executive teams, recommendations, and master service agreements
• InfraOps Base and custom InfraOps subscription plans, including credit-based delivery, dashboard approvals, plan amendments, archived plan history, and pass-through third-party costs
• Ozcorp Insights subscriptions, including monthly and annual research credit products distinct from InfraOps infrastructure plans
• Ozcorp Studio offerings, including tech sector insights briefs, venture portfolio tracking, and tailored engagement inquiries
• Ozcorp Science offerings, including open working papers, datasets, methods, review trails, and paper submission proposals
• Tortzal scientific red team and adversarial assurance, including point-in-time assessments, continuous programs, architecture reviews, and incident response support for scientific language models, co-scientist agents, and sensitive research pipelines
• Portfolio venture properties and inquiries, including bioinformatics services, compound licensing discussions, co-investment inquiries, and other venture-related communications
• Corporate information, including about pages, careers, press releases, meeting scheduling, and general contact requests

Descriptions on individual sites explain the scope of each offering. Nothing on our public sites constitutes an offer to sell securities or an solicitation to buy securities unless expressly stated in a separate regulated document.

Acceptable use

Our services are provided for lawful business and personal use unless a specific product states otherwise. You may not use our services for illegal, harmful, deceptive, or unauthorized purposes.

You agree not to:

• Interfere with or disrupt the operation, security, or integrity of any service
• Use automated means to access, scrape, monitor, or copy content without written permission
• Attempt unauthorized access to accounts, systems, or data
• Upload malware or malicious code
• Misrepresent your identity, affiliation, authorization, or regulatory status
• Harvest personal information from other users without consent
• Submit false, misleading, or incomplete scope information for regulated, sensitive, or adversarial engagements
• Use our services in violation of export control, privacy, intellectual property, healthcare, or research compliance laws

Accounts and authentication

Some services require registration. You are responsible for maintaining the confidentiality of your credentials and for activity under your account. You must provide accurate information and promptly update it when it changes.

We may offer authentication through email one-time passcodes, OAuth providers such as Google, and other identity methods supported on the relevant application. You are responsible for securing the devices and accounts used to access Ozcorp services.

We may require dashboard approval, identity verification, deposit authorization, or executed agreements before activating certain subscriptions or deliverables.

InfraOps subscriptions, work orders, and managed deliverables

If you purchase InfraOps Base, a custom InfraOps plan, or individual InfraOps catalog services through Ozcorp:

• Commercial terms, pricing, monthly credits, included services, setup fees, deposits, and pass-through costs are shown at checkout, in your plan details, in your master service agreement, or in applicable order documentation
• InfraOps Base provides a defined bundle of core infrastructure services and credit-based delivery through the Ozcorp platform. Custom plans may combine any active catalog services into a monthly subscription where each selected service may generate work orders and billing events
• Managed deliverables, including websites, templates, deployment configuration, automation, and related digital assets created or operated by Ozcorp, remain owned by Ozcorp or its licensors unless ownership is expressly transferred in writing
• While your subscription is active and in good standing, you receive a limited license to use applicable deliverables for their intended business purpose
• Domains, registrar accounts, mailboxes, and third-party vendor accounts may be client-owned or Ozcorp-managed depending on plan configuration and checkout selections
• Pass-through costs for third-party vendors, domains, licenses, or usage-based services may be billed at cost or as stated in plan documentation
• Plan amendments, service splits, archival, and historical billing records may be handled through the Ozcorp platform subject to applicable agreement terms
• Early cancellation before any stated minimum commitment may result in suspension of hosting or operation, early termination fees, forfeiture of unused credits where permitted by plan terms, and/or a website or deliverable buyout fee if you wish to retain continued use after cancellation. Buyout amounts are stated in plan details, checkout, or your agreement
• Where a plan or engagement requires handling of protected health information or other regulated data, additional agreements such as a business associate agreement or data processing addendum may apply

Insights, Studio, Science, and Tortzal terms

Ozcorp Insights subscriptions are separate from InfraOps infrastructure plans. Insight credits, renewal terms, and subscriber pricing are shown at purchase. Insight content is provided for general informational purposes only.

Ozcorp Studio may provide subscription research briefs, portfolio tracking, and inquiry-based engagements. Portfolio listings, venture statuses, and research summaries do not constitute investment advice, an offer to sell securities, or a recommendation to buy or sell any security.

Ozcorp Science publishes open working papers, datasets, methods, and review materials for informational and research purposes. Published materials do not constitute medical, legal, regulatory, or professional advice. Submission of a paper proposal does not guarantee publication or endorsement.

Tortzal engagements may involve testing of systems that process scientific, biological, chemical, export-controlled, privacy-regulated, or otherwise sensitive data. You are responsible for providing accurate scope information, obtaining required internal approvals, and ensuring Tortzal personnel receive only data and access necessary for the agreed engagement. Findings, scenarios, and remediation guidance are advisory and do not guarantee prevention of all future incidents.

Payments, billing, and alternative consideration

We may accept payment by card, debit, ACH, invoice, or other methods supported through payment processors such as Stripe. You authorize us and our processors to charge applicable fees, renewals, deposits, pass-through costs, and approved overages.

Some engagements may permit alternative consideration arrangements, such as equity or dividend-linked structures, only where expressly documented in a signed agreement. Unless expressly documented, all services require monetary payment on the stated schedule.

Failure to pay applicable fees may result in suspension of services, withholding of deliverables, or termination of access.

Intellectual property

Content, software, designs, trademarks, logos, documentation, research outputs, analytics models, templates, and other materials made available through Ozcorp services are owned by Ozcorp Scientific LLC, its affiliates, licensors, or portfolio ventures and are protected by intellectual property laws.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from our materials except as expressly permitted in writing or by the functionality of a specific service.

Brand names and marks such as Ozcorp, Ozcorp Scientific, InfraOps, Ozcorp Studio, Ozcorp Science, Tortzal, GENOS.BIO, Hypomax, Patrones y Riesgo, Patterns and Risks, and related product names identify respective offerings. Unauthorized use of Ozcorp marks is prohibited.

User content and client materials

If you submit content through forms, uploads, dashboards, support tickets, work orders, research proposals, investor inquiries, red team scoping questionnaires, or other channels, you grant Ozcorp a non-exclusive, worldwide, royalty-free license to use, host, reproduce, adapt, and display that content as needed to operate, support, secure, and improve the relevant service.

You represent that you have the rights to submit the content, that you have authority to grant the license above, and that the content does not violate law or third-party rights.

For client-provided data used in professional services, analytics, AI workflows, bioinformatics, or red team engagements, you remain responsible for lawful collection, consent, de-identification, export authorization, and retention of that data unless otherwise stated in a signed agreement.

AI, analytics, and automated systems

Some Ozcorp services use automation, analytics, machine learning workflows, virtual agents, or evaluation harnesses. Outputs may be probabilistic, incomplete, or incorrect. You are responsible for reviewing outputs before relying on them in regulated, clinical, financial, safety-critical, or operational decisions unless a separate signed agreement states otherwise.

Third-party services and links

Our services may link to or integrate with third-party websites, payment processors, analytics tools, hosting providers, scheduling tools, identity providers, communication platforms, or other vendors. We are not responsible for third-party content, policies, or practices. Review their terms and privacy policies before use.

Professional disclaimers

To the fullest extent permitted by law:

• Ozcorp services are provided on an "as is" and "as available" basis
• We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement
• We do not guarantee uninterrupted, secure, or error-free operation
• Research, market commentary, portfolio information, scientific papers, risk analytics, and red team findings are provided for informational purposes only
• Nothing on our services constitutes legal, tax, medical, clinical, regulatory, or investment advice
• Portfolio listings, venture references, and co-investment inquiries do not constitute an offer to sell or a solicitation to buy securities

Limitation of liability

To the fullest extent permitted by law, Ozcorp and its affiliates, officers, directors, employees, contractors, licensors, and portfolio ventures will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill arising from your use of our services.

Our aggregate liability for claims relating to the services will not exceed the greater of (a) amounts you paid Ozcorp for the specific service giving rise to the claim during the twelve months before the event, or (b) one hundred U.S. dollars (USD $100), except where liability cannot be limited by law.

Indemnification

You agree to defend, indemnify, and hold harmless Ozcorp and its affiliates, licensors, service providers, and personnel from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the services, your content, your client data, your scope representations, or your violation of these Terms or applicable law.

Suspension and termination

We may modify, suspend, or discontinue any service at any time. We may suspend or terminate access if you breach these Terms, fail to pay applicable fees, create risk or legal exposure, or where required by law. Provisions that by their nature should survive termination will survive.

Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Puerto Rico, without regard to conflict-of-law principles. You agree that disputes arising out of or relating to these Terms or our services will be brought exclusively in the state or federal courts located in Puerto Rico, and you consent to personal jurisdiction in those courts.

Before filing suit, the parties will attempt in good faith to resolve disputes within thirty (30) days after written notice.

Severability and entire agreement

If any provision is held invalid or unenforceable, the remaining provisions remain in effect. These Terms, together with the Privacy Policy and any applicable supplemental product terms, constitute the entire agreement between you and Ozcorp regarding the covered services.

Assignment

You may not assign these Terms without our prior written consent. Ozcorp may assign these Terms without restriction.
